If Applicable, information about your practice, such as logos and images, NPI numbers for you and your staff, practice slogan and description of services, and other information.
Information about your Internet connection, the equipment you use to access our Platform, and usage details.
Information about you that does not identify you individually, such as whether you are a current user, your product interests, location or demographics, or information related to your inquiry or request.

If you provide a testimonial, your first name will be posted along with the testimonial. Please remember that testimonials are located in the public areas of our Platform. Please note that certain covered entities on the US Health and Wellness Platform may participate in a Health Information Exchange: H.I.E. This allows for your medical information to be securely shared with hospitals and other health organizations. This sharing of information allows for safer and more efficient quality of care when you visit health care organizations that also participate in H.I.E. You have the option to not benefit from participating in the health information exchanges by opting out. If you Choose to Opt-Out, Please Opt-Out before you use services on the US Health and Wellness. This can be done by emailing [email protected].

Do Not Track. We do not currently respond to “do not track” signals.
Promotional Offers from US Health and Wellness, its affiliates, or third-party partners. If you do not wish to have your contact information used by US Health and Wellness to promote our own products or services, you can unsubscribe by going to your US Health and Wellness account, click preferences, and click off for the communications that you do not wish to receive. If you are receiving email from US Health and Wellness or from one of our third-party partners, but do not have an account with us, you can unsubscribe in the bottom of the email. If you are not able to unsubscribe online through one of those methods, please contact us and we can handle your request. You can also always exercise your right to ask us not to process your

When you use our Platform there is a risk that your PHI will be stored unencrypted on your mobile device. We take a variety of technical safeguards to make sure that your PHI does not leak onto your mobile device but we cannot guarantee that these safeguards work.

VIII. No Services To Children Under The Age of 18
US Health and Wellness does not provide services to minors under 18.

To do so, we collect your name, e-mail address, phone number to verify your identity. We also may contact you by e-mail or by telephone to verify your identity and ask you additional questions so that we can match your identity with the data we have about you. In some instances, we may ask you to declare under penalty of perjury that you are the consumer whose Personal Information is the subject of the request.
You also may designate an authorized agent to make a request for you. To use authorized agent, you or your authorized agent must:

For purposes of clarity, US Health and Wellness is and shall remain the sole owner of all Offerings (including, without limitation, all software code, business process and designs used therein). You further acknowledge that the Offerings may be modified or upgraded from time to time, and that the specific version that pertains to your instance may or may not be the most recent version thereof.
Furthermore, you agree that your use of the Offerings is provided on a limited, non-exclusive basis. Except as authorized by US Health and Wellness in writing, you will NOT: (i) access or use the Offerings to provide products or services to third parties for their commercial purposes; (ii) access or use the Offerings, or let your employees, relatives or others do so, except through the terms hereof; (iii) resell, sublicense, lease, encumber, copy, distribute, publish, exhibit, transmit, provide access to, or provide use of the Offerings to any third party, nor use or allow the Offerings to be used in any public system or public electronic bulletin board (unless agreed by US Health and Wellness), multiple computer or user arrangement or network that includes access by any third party; (iv) derive specifications from, reverse engineer, reverse compile, disassemble, translate, record or create derivative works based on the Offerings; or (v) use the Offerings, or any part thereof for any unlawful purpose or to mislead or harass anyone. Use of or access to the Offerings in violation of these terms is strictly prohibited. Permission to access or use the Offerings may be limited or suspended immediately if, in US Health and Wellness discretion, this Section has been violated. You agree that a violation of this Section will cause US Health and Wellness irreparable and immediate harm, and that US Health and Wellness is entitled to injunctive relief to prevent such violation. For purposes of this Section, a third party shall not include consultants, lawyers, accountants, and part-time or temporary workers.
Your use of the Offerings may “time-out” during periods of non-use. This is a safety feature and does not mean that your use has been suspended.
For clinics and other service providers, US Health and Wellness does not allow for offensive, illegal, generic, or other clinic/domain names. By choosing a domain or subdomain, you hereby warrant that you are not breaking any of the laws of your jurisdiction or the jurisdiction of US Health and Wellness. US Health and Wellness reserves the right to change or remove domains (including subdomains) at US Health and Wellness sole discretion. US Health and Wellness will be indemnified against any actions arising out of domain name selection.

The Offerings Do Not Provide Medical Advice or Assistance in Prescribing Medications
The content contained in the Offerings, such as data, databases, text, graphics, user interfaces, images, links, information obtained from US Health and Wellness or its licensors, and other material contained in or included with the Offerings are subject to these Terms of Use. The content is not intended to be a substitute for professional medical advice, diagnosis or treatment. If you are a healthcare provider, you, your employer and/or colleagues must make independent medical decisions regarding your patient’s health and the appropriate medical prescriptions that they require. You should not rely exclusively on any content provided by US Health and Wellness or in the Offerings for such purposes. US Health and Wellness is not responsible for any prescriptions that you write, the quantity or dosages thereof, or any matters pertaining to the treatment of your patients. For purposes of clarity, the Offerings constitute a means by which you may simply write and transmit prescriptions. US Health and Wellness is not responsible for the substance of the medications that you prescribe and the frequency of use or dosages that you recommend.
US Health and Wellness uses a number of pharmacies in our network to fulfill your order requests. We default your pharmacy selection based on many factors, like your location and product availability. ALL PATIENTS RESERVE THE RIGHT to change their pharmacy at any time. Mobile Use
If you use the Offerings on a mobile device, the costs for and quality of the services that you receive are subject to the terms and conditions of the contract you have with your cellular carrier, and any service interruptions are controlled by your cellular carrier. US Health and Wellness does not and cannot ensure that you will have full use of the Offerings while using a mobile device and cannot assure you that your mobile access will be seamless and/or acceptable. Support
US Health and Wellness maintains and staffs a customer service help desk that provides support for your use of the Offerings. If you are part of a large organization, you may also be assigned business and technical account managers to ensure your success in using the Offerings. US Health and Wellness support is available 8 am -6 pm, Eastern time, Monday thru Friday. No support is offered on the following holidays: New Year's Day, Memorial Day, Independence Day, Labor Day, Thanksgiving (Thursday and Friday) and Christmas (two days). Your use of any content is subject to the terms hereof. If you copy content, you must include a copyright notice providing attribution to US Health and Wellness such as, for example: "Copyright © 2023 US Health and Wellness All rights reserved." or similar such notice. All content is protected by United States copyright and foreign copyright laws. Title to the content remains with US Health and Wellness or its licensors. Content and features of the Offerings are subject to change or termination, without notice, in the editorial discretion of US Health and Wellness. All rights not expressly granted herein are reserved to US Health and Wellness and its licensors. If you violate these Terms of Use, your permission to use the content automatically terminates, and you may be held liable.
Non-Circumvention and Non-Reproduction: It is restricted to reverse-engineer, rebuild, or copy any part of the Platform , or other "Offerings." You agree that your usage of the US Health and Wellness Platform reveals privileged information and operational know-how, which is a trade secret owned wholly by US Health and Wellness and its affiliates. Any violation of this clause will result in prosecution to the greatest extent of the law.
Identity Proofing
US Health and Wellness requires that clients use “ID Proofing” to validate the identity of users of its Offerings. If you are employed by or contract with a hospital or healthcare system, you must comply with its “ID Proofing Requirements.” If you are self-employed or part of a smaller organization, you must establish and abide by “ID Proofing Requirements” that comply with the protocols established under the National Institute of Standards and Technology (NIST 800-63 (v2 or higher)).
For purposes of clarity, IF YOU OR YOUR EMPLOYER DO NOT HAVE OR USE “ID PROOFING” REQUIREMENTS” THAT COMPLY WITH NIST 800-63 (v2 OR HIGHER), DO NOT USE THE OFFERINGS.
Confidentiality
Obligations . Neither you nor US Health and Wellness will use the other party’s Confidential Information, except as permitted in these Terms of Use, and neither you nor US Health and Wellness will disclose such Confidential Information to any third party, except to those of employees and subcontractors as reasonably required in connection with performance of this Agreement, provided that each such employee and subcontractor is subject to a written agreement that includes binding use and disclosure restrictions that are at least as protective as those set-forth herein. The foregoing obligations will not restrict either party from disclosing the other’s Confidential Information: (i) pursuant to a court order or requirement of a court, administrative agency or other governmental body, or as may be required by any law or regulation, provided that the party required to make such a disclosure gives reasonable notice to the other party to enable it to contest such order or requirement; (ii) from being used on a confidential basis by its legal or professional financial advisors. For purposes of this agreement, the term “Confidential Information” means: (i) any non-public information of a party including, without limitation, any information relating to a party’s current and planned products and services, technology, techniques, know-how, research, engineering, designs, finances, accounts, procurement requirements, manufacturing, customer lists, business forecasts and marketing plans; (ii) patient information; (iii) information of a party that is disclosed in writing and is conspicuously designated as “Confidential” at the time of disclosure or that is disclosed orally and is identified as “Confidential” at the time of disclosure; and (iv) the terms and conditions of these Terms of Use. Notwithstanding the foregoing, Confidential Information shall not include information that: (i) is or becomes generally known or available by publication, commercial use or otherwise through no fault of the receiving party; (ii) was in the receiving party’s possession at the time of disclosure without violation of any confidentiality restriction and without any restriction on the receiving party’s further use or disclosure; or (iii) is independently developed by the receiving party without use of the disclosing party’s Confidential Information.
Patient Data and Information . Neither you nor US Health and Wellness shall send, transfer, transmit, provide or in any way distribute patient health information concerning an identified or identifiable natural person to any third party, except as permitted hereunder to allow US Health and Wellness to provide its Offerings to you for your use; Provided, that, such transfer or transmission is performed in a legally permissible way and the data is sent in an encrypted format. Furthermore, you agree that US Health and Wellness may use any information that you upload to or run through the Offerings in any manner that it wishes including, without limitation, surveys, analysis of user workflows, data analytics, statistical studies/analyses, and other purposes; Provided, that, such data is aggregated and de-identified so as to entirely conceal (mask) any identifying information.
Injunctive Relief . Should a breach of confidentiality occur, you and US Health and Wellness agree that the non-breaching party could suffer irreparable harm and the total amount of monetary damages for any injury to the non-breaching party may be impossible to calculate. Accordingly, you and US Health and Wellness agree that the non-breaching party shall be entitled to seek temporary, preliminary and/or permanent injunctive relief against the breaching party, its officers or employees and other remedies at law or in equity.
HIPAA
Terms used but not defined in this section shall have the meanings ascribed to them in the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”) and its associated rules and regulations.
Permitted Uses and Disclosures
(a) Except as limited herein, US Health and Wellness, as a business associate, may receive, use or disclose PHI relating to your use of the Offerings if such receipt, use or disclosure does not violate HIPAA or these Terms of Use. US Health and Wellness may use PHI for the proper management and administration of the Offerings.
(b) US Health and Wellness shall not disclose PHI unless: (i) required by law; or (ii) it obtains commercially reasonable assurances from the person to whom the PHI is disclosed that it will be kept confidential and used or disclosed only as required by law.
(c) US Health and Wellness shall limit its use, disclosure or request of PHI, to the extent practicable, to a Limited Data Set or, if needed, to the Minimum Necessary amount of PHI needed to accomplish the intended purpose of the use, disclosure or request.
Safeguards for the Protection of PHI. US Health and Wellness shall use appropriate safeguards to prevent use or disclosure of PHI aside from those in these Terms of Use. US Health and Wellness shall implement and maintain such administrative, physical and technical safeguards required by HIPAA to reasonably and appropriately protect the confidentiality, integrity and availability of electronic PHI that it creates, receives, maintains or transmits based on your use of the Offerings under these Terms of Use.
Reporting of Unauthorized Uses or Disclosures of PHI and Breaches of Unsecured PHI
(a) US Health and Wellness shall report to you within thirty (30) calendar days of any use or disclosure of PHI of which US Health and Wellness becomes aware that is not provided for by these Terms of Use or under HIPAA.
(b) US Health and Wellness shall report any successful security incident (defined below) of which it becomes aware and for which it is responsible not later than thirty (30) calendar days after discovery of the successful security incident. For the purposes of this Agreement, a “successful security incident” is the successful, unauthorized access, use, disclosure, modification or destruction of your PHI.
(c) US Health and Wellness shall initially notify you of a Breach of unsecured PHI within ten (10) calendar days after discovery of such Breach during which time US Health and Wellness will prepare a Breach notification in accordance with 45 C.F.R. 164.410, if applicable. The notification shall include the following, to the extent possible:
(i) a brief description of the event including the date of the Breach and the date of its discovery; and
(ii) the types of unsecured PHI involved in the Breach (e.g., name, diagnosis, social security number, etc.);
(iii) a brief description of steps taken by US Health and Wellness to investigate, mitigate, and protect against further breaches.
(d) US Health and Wellness shall have no obligation to correct or mitigate any unauthorized use or disclosure of PHI caused by you, unless such unauthorized use or disclosure was proximately caused by US Health and Wellness' material breach hereof.
(e) You shall be responsible for notifications made to any third-party to whom notification is required including, without limitation, state or federal regulators or affected individuals whose PHI is subject of a notification, etc.
Use of Subcontractors . If US Health and Wellness uses one or more subcontractors or agents to perform its obligations under any agreement with you, and such subcontractors or agents receive or have access to PHI, US Health and Wellness agrees to obtain written assurances that any such subcontractors or agents agree to the restrictions and conditions that are substantially similar to those included in these Terms of Use.
Authorized Access to PHI . To fulfill your obligations under the Privacy Rule, US Health and Wellness shall make PHI available to you during normal business hours and at your expense for inspection or copying within ten (10) calendar days of your request. If an Individual requests inspection or copying of PHI directly from US Health and Wellness or its agents or subcontractors, US Health and Wellness shall notify you in writing within thirty (30) business days of receipt of such request.
Amendment to PHI. If US Health and Wellness is able to amend PHI to help you fulfill your obligations under the Privacy Rule, US Health and Wellness shall amend such PHI within twenty (20) calendar days of such request at your expense. If an Individual requests amendment of his/her PHI directly from US Health and Wellness or its agents or subcontractors, US Health and Wellness shall notify you in writing within ten (10) business days of receipt of such request and provide you with a copy of the request. US Health and Wellness shall not knowingly or intentionally modify any PHI absent your consent.
Accounting of Disclosures of PHI . If US Health and Wellness is able to account for disclosures of PHI, it shall keep records of all disclosures made by it (the “Disclosure Accounting”) on an ongoing basis for six (6) years or for such other period of time as may be specified by HHS or by rule, except for disclosures:
(a) To carry out Treatment, Payment, or Health Care Operations, as provided in 45 C.F.R. 164.502; Provided, however, that, US Health and Wellness shall, if required by the HITECH Act and the accompanying regulations, keep a record of disclosures to carry out Treatment, Payment or Health Care Operations made via an electronic health record for at least ten (10) years; or
(b) As otherwise excluded, as described at 45 C.F.R. 164.528(i)-(ix), US Health and Wellness shall provide the Disclosure Accounting to you (i) no later than thirty (30) days after receipt of written request for such Disclosure Accounting by you pursuant to 45 C.F.R. 164.528, or (ii) in accordance with HIPAA.
Electronic Copies of PHI . If US Health and Wellness uses or maintains PHI in an Electronic Health Record, it shall provide you with a copy of such information in an electronic and agreed format at your expense within twenty (20) calendar days of your request.
Application of Obligations that Require Access to PHI . The obligations of US Health and Wellness hereunder that are derived from the Privacy Rule, and privacy provisions of Sections 13404, 13405 and 13406 of the HITECH Act and that require access to PHI, shall apply to US Health and Wellness only to the extent that it has access to PHI sufficient to allow it to fulfill such obligations.
Your Obligations Regarding PHI
(a) You shall notify US Health and Wellness of any restriction on the use or disclosure of PHI to which you have previously agreed under 45 C.F.R. 164.522(a)(1) and any restrictions on disclosure with which you must comply under the HITECH Act if such restriction may affect US Health and Wellness' use or disclosure of PHI.
(b) You shall notify US Health and Wellness of any limitation(s) in your notice of privacy practices under 45 C.F.R. § 164.520 if such limitation may affect US Health and Wellness use or disclosure of PHI.
(c) You shall notify US Health and Wellness in writing of any changes in, or revocation of or permission by an Individual to use or disclose such Individual’s PHI if such change or revocation may affect US Health and Wellness' use or disclosure of PHI or its ability to perform its obligations under these Terms of Use or the law. You shall also obtain, in writing, any Individual consent, authorization and other permissions that may be necessary or required by applicable laws in order to transfer or disclose or allow US Health and Wellness to access the PHI.
(d) You shall not request that US Health and Wellness use or disclose PHI in any manner that would not be permissible under HIPAA if done by you.
(e) You shall comply with HIPAA regarding your use of or access to PHI and will indemnify US Health and Wellness for your breach of HIPAA if such breach results in claims being asserted against US Health and Wellness.
(f) Any user of the platform agrees to complete the provided HIPAA training class free-of-charge within 30 days of account creation.
De-Identification and Aggregation
You authorize US Health and Wellness to use or sell the PHI that you maintain through the Offerings on an aggregated and de-identified basis for, without limitation, reports, studies, analytics and statistics. The term “de-identify” means that the PHI is stripped of information that enables a third person from identifying you or your patient, and instead consists solely of raw data about you and/or your patient with no identifiers or tracers.
US Health and Wellness Disclaimers
The Offerings and Content are provided on an "as is" basis. US Health and Wellness AND ITS LICENSORS AND SUPPLIERS, TO THE FULLEST EXTENT PERMITTED BY LAW, DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE. Without limiting the foregoing, US Health and Wellness, its licensors and suppliers make no representations or warranties about the following:
1. The accuracy, reliability, completeness, current-ness or timeliness of the content, software, text, graphics, links or communications provided on or through the use of the Offerings.
2. The satisfaction of any government regulations regarding privacy or other matters, and the use of content that you provide regarding you or your patient (if you are a healthcare provider).
Your ability to access and use the Offerings relies on your availability of internet access and internet service providers over whom US Health and Wellness has no control. Accordingly, US Health and Wellness assumes no liability relating to the delay, failure, interruption or unavailability of the Offerings due to your ability to access the internet access or issues experienced by your internet service provider.
US Health and Wellness reserves the right to disable any user account at any time or any reason, with or without notice. Organizations that do not process at least 10 orders per month may be moved to an "Inactive" status.
If you believe any materials accessible through the Offerings infringe your copyright, you may request their removal by contacting US Health and Wellness, and providing the following information:
1. Identification of the copyrighted work that you believe to be infringed. Please describe the work and, where possible, include a copy or the location (e.g., URL) of an authorized version of the work.
2. Your name, address, telephone number and (if available) e-mail address.
3. A statement that you have a good faith belief that the complained of use of the materials is not authorized by the copyright owner, its agent or the law.
4. A statement that the information that you have supplied is accurate, and indicating that "under penalty of perjury," you are the copyright owner or are authorized to act on the copyright owner's behalf.
5. A signature or the electronic equivalent from the copyright holder or authorized representative. US Health and Wellness' agent for copyright issues relating to this website is as follows:

If you access the Offerings or Content from outside of the United States, you do so at your own risk, and you are responsible for compliance with the laws of your jurisdiction.
All provisions hereof survive the expiration or termination of this Agreement for any reason whatsoever in order to protect the rights ofUS Health and Wellness.
Complete Agreement
Except as expressly provided, these Terms of Use and other US Health and Wellness policies constitute the entire agreement between you and US Health and Wellness regarding your use of the Offerings and the Content.
